PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE A MANDATORY ARBITRATION CLAUSE, A CLASS ACTION WAIVER, AND A JURY TRIAL WAIVER. SEE SECTION 17 FOR DETAILS. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS OF FIRST ACCEPTING THESE TERMS.

Section 01 - Agreement to Terms

These Terms of Service ("Terms") are a binding legal agreement between you and Keane Financials LLC ("Keane Financials," "we," "us," or "our"), the operator of Kove Finance ("Kove"). These Terms govern your access to and use of the Kove web application, the kovefinance.com website, and all related services (collectively, the "Services").

By creating an account or using the Services in any way, you agree to be bound by these Terms and our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Services.

These Terms apply to both the Kove application and the kovefinance.com website.

By creating an account and using the Services, you consent to receive communications from us electronically, including via email. You agree that all notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. This consent covers account notices, billing communications, price-change notices, access code issuance and revocation notices, and any other notifications described in these Terms or our Privacy Policy.

Section 02 - Eligibility

You must be at least 18 years of age to use Kove. By using the Services, you represent and warrant that you meet this requirement and have the legal capacity to enter into a binding contract. If you do not meet these requirements, you must not access or use the Services.

We reserve the right to suspend or terminate accounts of users who do not comply with these eligibility requirements.

Section 03 - Account Registration and Security

To use most features of Kove, you'll need to create an account. When you do, you agree to provide accurate, current, and complete information. You're responsible for keeping that information up to date.

You are responsible for maintaining the confidentiality of your login credentials. Do not share your password with anyone. If you suspect unauthorized access to your account, notify us immediately at support@kovefinance.com. We are not liable for any loss or damage resulting from unauthorized access caused by your failure to protect your credentials.

We reserve the right to disable any account at any time if, in our judgment, you have violated any provision of these Terms.

Section 04 - Subscription, Billing, and Payment

4.1 Plans and Pricing
Kove is offered on a paid subscription basis. Available plans and current pricing are listed on our pricing page at kovefinance.com/pricing. We may offer monthly or annual billing options. By selecting a plan, you agree to pay the applicable fees.

4.2 Free Trial
From time to time, we may offer a free trial period for new users. If a free trial is available, a valid payment method is required to begin. Your payment method will be automatically charged at the applicable subscription rate when the trial period ends, unless you cancel before the trial expires. We will send you a reminder email one day before your trial ends. Trial eligibility is determined at our sole discretion and is available only to first-time users.

4.3 Automatic Renewal
Subscriptions automatically renew at the end of each billing period (monthly or annual, depending on your selected plan) at the then-current rate unless you cancel before the renewal date. You can manage or cancel your subscription from within your account settings.

4.4 Price Changes
We will provide at least 14 days' notice before any price change takes effect. Notice will be sent to the email address associated with your account. Continued use of Kove after a price change takes effect constitutes your acceptance of the new pricing.

4.5 Failed Payments
If a payment fails, your account will remain active for a grace period of 3 days. If payment is not successfully collected within that period, your account will be suspended until the outstanding balance is resolved. You can update your payment method at any time from within your account settings.

4.6 No Refunds
All fees paid to Kove are non-refundable. This applies to all subscription types, including partial billing periods, unused time on annual plans, and any period during which you did not use the Services. This is a business policy, not a reflection of our ability to process refunds through our payment provider. If you cancel your subscription, you will retain access through the end of your current paid period.

We recognize this is a strict policy. We've chosen transparency over fine print: if you're unsure whether Kove is right for you, we encourage you to review all available information at kovefinance.com, or contact us at support@kovefinance.com with any questions before subscribing.

Section 05 - Access Codes

5.1 General
Kove may grant access to certain users through access codes instead of, or prior to, a standard paid subscription. Access codes are issued to distinct user cohorts, which may include company-sponsored users, beta program participants, special cohorts, and students or affiliates of partner universities and other institutions. Unless otherwise stated, the terms of this Section apply uniformly to all access code types.

5.2 Expiration
Each access code has an expiration period that runs from the date the code was issued, not the date it was redeemed or first used. We may adjust the expiration date of an individual access code at our sole discretion, including extending or shortening it, at any time and without prior notice.

5.3 Non-Transferability
Access codes are personal to the individual to whom they were issued. Codes may not be shared, transferred, sold, or resold, and only one account may be associated with a given access code. We reserve the right to void an access code and disable its associated account if we determine this Section has been violated.

5.4 Revocation
We reserve the right, in our sole discretion, to revoke an access code and its associated account access at any time and for any reason, including suspected violation of these Terms, suspected misuse, or as part of a routine access review. Your participation, or lack of participation, in optional surveys may be considered as part of an access review. If we revoke your access, we will notify you by email at the time of revocation, and any connected Plaid financial account connections will be severed simultaneously with that notice.

5.5 Expiration and Transition to Paid Access
We will provide at least 14 days' notice, sent to the email address on your account, before an access code expires. Access codes do not carry any guaranteed grace period, transition period, or discounted offer to convert to a paid subscription - any such offer, if made, is extended entirely at our discretion.

If your access code expires or is revoked and you have not converted to a paid subscription:

  • Your connections to Plaid and any linked financial accounts will be automatically severed 3 days after expiration or revocation.
  • All data associated with your account other than your login credentials - including financial data, transaction history, budgets, goals, and AI chatbot conversation history - will be automatically and permanently deleted no later than 14 days after expiration or revocation.

This timeline applies uniformly regardless of the type of access code you were issued. Once deleted under this Section, your data cannot be recovered. To retain your access and data, you must purchase a paid subscription before the applicable deadline.

This Section 5.5 applies only to access-code-based access. Data retention practices for standard paid subscribers whose subscriptions lapse or who become inactive are addressed in our Privacy Policy.

5.6 University and Institution Partnerships
If Kove is made available to you at no cost through a partnership between Kove and your university, employer, or another institution, your access is provided by way of an access code and is subject to this Section. Your continued access depends on that partnership remaining in effect. If the partnership ends, your access code may be terminated or allowed to expire in accordance with this Section, and the data handling described in Section 5.5 will apply. Students and other individuals accessing Kove through an institutional partnership are bound by these Terms in the same manner as any other user.

5.7 Beta Features
Features made available to beta program participants or otherwise designated as beta, experimental, or preview may be unstable, incomplete, or subject to significant change. Beta features are provided as-is and are not covered by the standard notice periods described in Section 18. We may modify, restrict, or remove beta features at any time without prior notice and without liability.

Section 06 - Plaid and Third-Party Financial Connectivity

Kove uses Plaid Technologies, Inc. ("Plaid") to connect your bank and financial accounts. By connecting a financial account, you authorize Kove and Plaid, on your behalf, to access and retrieve your account information from the relevant financial institutions. You also agree to Plaid's End User Privacy Policy (available at plaid.com/legal).

Kove acts as a limited agent solely for the purpose of retrieving and displaying your financial data within the Services. We are not responsible for the accuracy or timeliness of data retrieved from third-party financial institutions, and we cannot guarantee uninterrupted access to connected accounts.

Section 07 - Uploaded Documents

Kove allows you to upload bank statements and similar financial documents to import transaction data. By uploading a document, you represent that you have the right to do so. Uploaded files are processed to extract transaction and account data and are not retained after processing is complete.

You retain all ownership rights to documents you upload. By uploading, you grant us a limited, temporary license to process the document solely for the purpose of delivering the Services to you. This license terminates upon completion of processing.

Section 08 - Acceptable Use

You agree to use Kove only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Services in any way that violates applicable federal, state, or local law
  • Attempt to gain unauthorized access to any part of the Services or our systems
  • Reverse engineer, decompile, or attempt to extract source code from the Services
  • Use automated tools, scrapers, or bots to access or interact with the Services
  • Submit false or misleading information, including fraudulent payment details
  • Use the Services to engage in any fraudulent, deceptive, or harmful activity
  • Impersonate another person or entity

We reserve the right to investigate and take appropriate legal action against anyone who violates these provisions, including terminating their account immediately and without notice.

Section 09 - Aggregated Reporting

Your anonymized, aggregated financial data may be used in Kove's published reports as described in our Privacy Policy. By using Kove, you acknowledge this practice. You may opt out of aggregated reporting at any time by contacting support@kovefinance.com. Opting out has no effect on your access to the Services.

Section 10 - AI Chatbot

Kove includes an AI-powered chatbot feature built on Anthropic's Claude models. When you use the chatbot, Kove automatically provides it with financial context relevant to your query - such as information drawn from your connected accounts, transactions, budgets, and goals - in addition to the message you type, so that it can generate a relevant response. Our Privacy Policy describes this processing in more detail.

The chatbot is offered for informational and organizational purposes only. As described in Section 12 (No Financial Advice), nothing generated by the chatbot constitutes financial, investment, tax, accounting, or legal advice, and you should not rely on it as such.

We monitor chatbot responses and may filter or block responses that violate our content policies. If a response is blocked, you may receive a generic fallback message instead.

You may not attempt to reverse engineer, extract, probe, or manipulate the underlying AI model or the instructions provided to it, consistent with Section 08 (Acceptable Use). By using the chatbot, you consent to the processing of your messages and related account information as described in this Section and our Privacy Policy.

Section 11 - Intellectual Property

All content, features, design, code, and materials within the Services - excluding your personal financial data - are the property of Keane Financials LLC and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes.

You may not copy, reproduce, distribute, modify, or create derivative works from any part of the Services without our prior written consent.

Section 12 - No Financial Advice

Kove is a personal financial management tool. Nothing within the Services constitutes financial, investment, tax, accounting, or legal advice. Insights, summaries, and reports generated by Kove are for informational purposes only and should not be relied upon for financial decisions. We are not a registered investment advisor, broker-dealer, or financial planner.

You are solely responsible for any decisions you make based on information provided through the Services. We recommend consulting a qualified professional for financial guidance.

Section 13 - Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

We are not responsible for the accuracy or completeness of financial data retrieved from third-party institutions through Plaid or any other data source.

Section 14 - Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KEANE FINANCIALS LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO KOVE IN THE 12-MONTH PERIOD IMMEDIATELY PRECEDING THE CLAIM, OR (B) $100.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY. THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

Section 15 - Indemnification

You agree to indemnify, defend, and hold harmless Keane Financials LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way related to: (a) your use of the Services; (b) your violation of these Terms; or (c) your infringement of any third-party right, including any intellectual property or privacy right.

Section 16 - Termination

We may suspend or terminate your account and access to the Services immediately and without prior notice if we determine, in our sole judgment, that you have violated these Terms or engaged in conduct harmful to Kove, other users, or third parties.

You may cancel your account at any time from within your account settings. Upon termination, your right to access the Services ceases. Data deletion follows the process described in Section 8 of our Privacy Policy.

Sections 4.6 (No Refunds), 11 (Intellectual Property), 12 (No Financial Advice), 13 (Disclaimers), 14 (Limitation of Liability), 15 (Indemnification), and 17 (Governing Law and Dispute Resolution) survive termination of these Terms.

Section 17 - Governing Law and Dispute Resolution

IMPORTANT: THIS SECTION CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. PLEASE READ IT CAREFULLY.

17.1 Governing Law
These Terms are governed by the laws of the State of Washington, without regard to its conflict of law provisions.

17.2 Informal Resolution
Before initiating any formal dispute, we ask that you contact us at support@kovefinance.com and give us a reasonable opportunity to resolve your concern. Most issues can be resolved quickly and informally. We're a small team and we take every concern seriously.

17.3 Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services - including questions of arbitrability - shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, before a single arbitrator. Arbitration will take place in King County, Washington, or by remote means if mutually agreed. The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.

17.4 Class Action and Jury Trial Waiver
YOU AND KEANE FINANCIALS LLC EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS. ALL DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY.

17.5 Arbitration Costs
Payment of arbitration fees will be governed by the AAA's Consumer Arbitration Rules. If you initiate arbitration, you will pay only the consumer filing fee; Keane Financials LLC will pay the remainder of AAA's fees. Each party bears its own attorneys' fees unless the arbitrator awards fees to the prevailing party as permitted by applicable law.

17.6 Exceptions
Notwithstanding the above, either party may seek emergency injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights or prevent imminent harm. Either party may also bring qualifying claims in small claims court in King County, Washington.

17.7 Opt Out
You may opt out of this arbitration agreement by sending written notice to support@kovefinance.com with the subject line "Arbitration Opt-Out" within 30 days of first accepting these Terms. Opting out does not affect any other provision of these Terms. If you opt out, disputes will be resolved in the courts of King County, Washington, and both parties consent to personal jurisdiction in those courts.

Section 18 - Changes to These Terms

We may update these Terms from time to time. When we do, we'll notify you via email at least 14 days before material changes take effect. The effective date at the top of this document reflects the most current version. Continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.

Changes to the arbitration provisions in Section 17 will not apply retroactively to disputes for which either party had actual notice before the change was posted.

We also reserve the right, at any time and without prior notice, to modify, suspend, or discontinue any feature or aspect of the Services. We are not liable to you or any third party for any such modification, suspension, or discontinuation. Where practicable, we will provide advance notice of significant feature removals, but we are not obligated to do so.

Section 19 - Force Majeure

Keane Financials LLC is not liable for any delay or failure to perform its obligations under these Terms to the extent caused by circumstances beyond our reasonable control, including but not limited to outages or failures of third-party services (including Plaid, Stripe, Firebase, or Anthropic), internet or telecommunications disruptions, acts of God, labor disputes, or government actions. We will use commercially reasonable efforts to restore the Services as promptly as practicable.

Section 20 - General Provisions

  • Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Keane Financials LLC regarding the Services and supersede all prior agreements and understandings
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect
  • No Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights without restriction
  • No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights except as expressly stated
